Terms of Service

1. Acceptance of Terms

By registering, accessing, or using the Ironclad licensing platform (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use or access the Platform.

The Platform is owned and operated by Ironclad Licensing Private Limited, a company incorporated under the Companies Act, 2013, with its registered office in Bengaluru, Karnataka, India.

2. Description of Services

Ironclad is an India-focused compliance operating system that facilitates business license discovery, application workflow management, document vaulting, and automatic renewals.

We connect business owners ("Customers") with qualified Chartered Accountants, Company Secretaries, advocates, and licensing consultants ("Partners") to assist with the filing and acquisition of regulatory licenses (such as GST, FSSAI, MSME, shop establishment, and company incorporations).

3. User Registration and Account Security

To use most features of the Platform, you must create an account. You represent and warrant that:

• All registration information you submit is accurate, current, and complete.
• You will maintain the confidentiality of your account credentials (password and sessions).
• You are authorized to bind your business entity to these Terms.

4. Payments, Billing, and Taxes

All platform charges, professional fees, and pass-through government fees are displayed in Indian Rupees (INR).

• Service Fees: Payment must be made in full through our integrated payment gateways (e.g. Razorpay) before professional work commences.
• Taxes: All fees are subject to applicable taxes, including Goods and Services Tax (GST) at standard rates.
• Refunds: Fees paid for jobs that have transitioned to "In Progress" or "Submitted" are non-refundable as professional resources have already been deployed.

5. Relationship with Partners

Partners registered on our marketplace are independent professionals and not employees of Ironclad. While we vet all Partners' professional credentials (such as ICAI/ICSI membership registrations), the Partner is solely responsible for the accuracy and completeness of filings made on behalf of the Customer.

6. Limitation of Liability and Disclaimers

The Platform and licensing information are provided on an "as-is" and "as-available" basis. While we strive to maintain the most comprehensive and up-to-date compliance library, regulatory updates are subject to government changes and notification timelines.

In no event shall Ironclad Licensing Pvt. Ltd. be liable for any indirect, special, incidental, or consequential damages (including business delays or penalties imposed by regulators) arising out of or related to your use of the services.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka.
